These Terms of Service ("Terms") govern access to and use of WellnessEpicenter (the "Platform"), operated by Illumination Lab LLC, a Florida limited liability company ("Illumination Lab," "we," "us," or "our"). By creating an account or using the Platform, you ("Customer," "you," or "your practice") agree to these Terms. If you do not agree, do not use the Platform.
1. The Service
WellnessEpicenter is a growth and retention platform built for chiropractic practices — automated recall, no-show recovery, patient reactivation, and AI-assisted front-desk communication (Voice AI and Conversation AI), delivered alongside the Customer's existing electronic health record (EHR) or practice-management system. WellnessEpicenter is not an electronic health record, does not perform clinical charting, SOAP notes, ICD-10 coding, or insurance claims and clearinghouse billing, and is not a certified EHR. Clinical and billing decisions remain solely the Customer's responsibility and that of its licensed providers.
2. Eligibility and Accounts
You must be an authorized representative of a licensed chiropractic practice to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at clients@illuminationlab.io of any unauthorized use.
3. Pricing and Payment
WellnessEpicenter is offered as a single plan at $99 per month, locked in for the life of the subscription for the first 270 practices that sign up, with onboarding included and no separate setup fee. This rate applies only while the subscription remains active and in good standing. In addition to the base subscription, usage-based charges apply to Voice AI minutes, Conversation AI tokens, SMS, and phone usage, billed as incurred. Fees are billed in advance on a monthly basis unless otherwise stated, and are non-refundable except as required by law or as expressly stated in these Terms. We may change pricing for new customers at any time; changes will not retroactively apply to an active founding-rate subscription as described above.
4. No Long-Term Contract
Subscriptions are month-to-month. You may cancel at any time through your account settings or by contacting us; cancellation takes effect at the end of the current billing period, and no partial-month refunds are issued.
5. Acceptable Use
You agree not to: (a) use the Platform for any unlawful purpose or in violation of applicable healthcare, telemarketing, or messaging laws (including TCPA and CAN-SPAM); (b) upload patient data you are not authorized to process; (c) attempt to reverse-engineer, disrupt, or gain unauthorized access to the Platform; (d) use Voice AI or Conversation AI to provide, or represent that it provides, clinical or diagnostic advice; or (e) resell or white-label the Platform without our written consent.
6. AI Features
Voice AI and Conversation AI are scoped to scheduling, logistics, and front-desk communication, and are configured using a knowledge base the Customer controls. The Customer is responsible for the accuracy of the information it loads into the knowledge base and for ensuring the AI is not configured to provide clinical or diagnostic advice. AI-generated responses may occasionally be inaccurate; the Customer remains responsible for reviewing and correcting patient-facing communications as needed.
7. Customer Data and HIPAA
As between the parties, the Customer retains ownership of its patient and practice data. Where Customer data includes Protected Health Information (PHI), Illumination Lab acts as a Business Associate under HIPAA and will enter into a Business Associate Agreement (BAA) upon request, as further described in our Privacy Policy. The Customer represents that it has the necessary rights and consents to provide patient information to the Platform for the purposes described in these Terms.
8. Intellectual Property
Illumination Lab retains all right, title, and interest in and to the Platform, including all software, automations, and content we provide, excluding Customer data. Customer retains all right, title, and interest in its own data and content.
9. Third-Party Services
The Platform integrates with third-party services (including telephony, messaging, payment, and AI model providers). We are not responsible for the acts, omissions, or downtime of third-party services, though we select vendors that meet reasonable security and reliability standards.
10. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE. WellnessEpicenter IS NOT A SUBSTITUTE FOR CLINICAL JUDGMENT OR A CERTIFIED ELECTRONIC HEALTH RECORD.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ILLUMINATION LAB LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER TO ILLUMINATION LAB IN THE THREE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless Illumination Lab LLC from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of applicable law, including healthcare privacy and telemarketing laws.
13. Termination
We may suspend or terminate access to the Platform for violation of these Terms, non-payment, or conduct that risks harm to Illumination Lab, other customers, or patients. Upon termination, the Customer's right to use the Platform ends; certain provisions (including Sections 8, 10, 11, 12, and 14) survive termination.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms will first be addressed through good-faith informal negotiation for at least 30 days. If unresolved, the dispute will be subject to the exclusive jurisdiction and venue of the state and federal courts located in Florida, and each party waives any objection to that venue.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated effective date at the top of this page. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
